This session will provide a broad overview of the legal regimes that govern the formation and operation of nonprofit entities. This session will outline key state and federal laws that relate to forming a nonprofit corporation, obtaining and maintaining tax-exempt status, fundraising, and other issues of corporate governance and compliance.

Professor Brett Stohs directs the Weibling Entrepreneurship Clinic at the University of Nebraska College of Law. In the Clinic, Brett supervises third-year law students who provide free legal services to startup businesses and social enterprises throughout the State of Nebraska. He received his J.D. from Duke University School of Law and a Master of Public Policy from the Sanford Institute of Public Policy. Prior to joining the faculty, Brett practiced in mergers, acquisitions, and other corporate and transactional matters at Sutherland Asbill & Brennan LLP in Washington, DC, and at Rembolt Ludtke LLP in Lincoln.

Active Nebraska attorneys are required to complete 10 hours of continuing legal education (CLE) each year. Two of those 10 hours must be in the field of professional responsibility (ethics). Nebraska attorneys may claim only 5 hours of distance-learning CLE per year. Webinars viewed on this portal are considered distance-learning. Under the new MCLE reporting process, the NSBA will report your attendance for this program, which will be automatically updated into your transcript. The NSBA has 30 days to report your hours to Nebraska MCLE, and your transcript may not update immediately. You are no longer able to log your own hours in your transcript; they must be reported by the sponsor.
